Our foundation was established on July 24, 2018 in the city of Poznan, Poland, EU.

CHAPTER I

GENERAL PROVISIONS

§1

The Oil Bottle Project Foundation, hereinafter referred to as the “Foundation” established by Hsiao-Ping Wang, hereinafter referred to as the “Founder”, by a notarial deed of 12 July 2018, operates on the basis of the provisions of the Act of 06/04/1984 on foundations and the provisions of these statutes.

§2

  1. The Foundation is based in Poznań.
  2. The area of ​​the Foundation’s activity is the territory of the Republic of Poland. However, for the proper implementation of the Foundation’s goals, it may also conduct its activities outside the borders of the Republic of Poland.
  3. The duration of the Foundation is indefinite.

§3

  1. The Foundation uses a seal with an inscription indicating its name and registered office. It may use a distinctive graphic sign and use the name in other foreign languages.
  2. The Minister governing the Foundation is the Minister for Family, Labor and Social Policy.

§4

  1. The Foundation works for the benefit of the general community.
  2. The implementation of statutory tasks of the Foundation may be carried out in cooperation with other entities.
  3. The Foundation may establish branches in the country and abroad as well as other organizational units serving the implementation of statutory objectives. The Foundation may also create social economy entities and join social economy entities.
  4. The Foundation may establish badges, honorary medals and award them along with other distinctions and prizes to natural and legal persons who have contributed to the Foundation.
  5. The Foundation may be a member of unions, associations and organizations in Poland and abroad.

 

CHAPTER II

AIMS AND FORMS OF THE FOUNDATION’S ACTIVITY

§5

  1. The goals of the Foundation are:

a) Social assistance, including assistance to families and people in a difficult life situation, and equal opportunities for these families and people.

b) Activities for professional and social integration and reintegration of people at risk of social exclusion.

c) Charity activities.

d) Activities for the integration of foreigners.

e) Activities for disabled people.

f) Promotion of employment and vocational activation of people who are unemployed and at risk of being dismissed from work.

g) Activities for people of retirement age.

h) Activities supporting the development of communities and local communities.

i) Science, higher education, education, and upbringing.

j) Activities for children and adolescents, including activities and rest time for children and adolescents.

k) Culture, art, protection of cultural property and national heritage.

l) Ecology and protection of animals and protection of natural heritage.

m) Tourism and sightseeing.

n) Activities for European integration and development of contacts and cooperation between societies.

o) Promotion and organization of volunteering.

2. The Foundation implements statutory goals in the form of unpaid and paid public benefit. The object of paid activity can not coincide with the subject of economic activity.

 

§6

The objectives of the Foundation are implemented through:

  1. Organizing social communities and support groups.
  2. Mentoring.
  3. Providing life coaching programs.
  4. Conducting cultural activities, including art therapy, music therapy, organizing exhibitions and artistic presentations.
  5. Providing employment and training opportunities for skills and internships in the work environment.
  6. Organizing social and educational events, including organizing language courses, workshops increasing skills according to trends.
  7. Publishing and distribution of printed and online information about different cultures, tourist information and tourist attractions in the country and abroad.
  8. Running ecological projects, workshops and voluntary events related to such topics as plastic reduction, recycling and waste as well as ecological packaging.
  9. Organizing local trips and exits.
  10. Establishing contacts with existing multicultural and international organizations and local and foreign initiatives.

§7

To achieve its goals, the Foundation may support the activities of other legal entities and physical, whose activities coincide with the objectives of the Foundation.

 

CHAPTER III

THE ASSETS AND REVENUES OF THE FOUNDATION

 §8

  1. The Foundation’s assets constitute the founder’s fund in the amount of PLN 2,000 (in words: two thousand zlotys) and property components acquired in the course of its operation.
  2. The amount of PLN 1,000 (say: one thousand zlotys) for business activity shall be separated in the Foundation’s assets.

 §9

Funds for achieving the Foundation’s goals and covering the costs of its activities come from:

a) donations, inheritances, subscriptions

b) subsidies and subsidies of legal entities

c) grant competitions

d) revenues from collections and public events

(e) income from immovable and movable property

f) interest on capital deposits and securities

g) European Union programs and other foreign resources

h) income from payable activity

i) business income

j) other activities under the law.

 

§10

  1. The Foundation conducts business activity on general principles, defined in separate regulations.
  2. The Foundation conducts business activity only directly related to the implementation of its statutory objectives.
  3. The Foundation conducts business activities only as they serve to provide a definite public benefit.

  1. The entire income of the Foundation, i.e. the surplus of revenues over costs, is transferred to public benefit activities, including those conducted for the benefit of the local community.
  2. The Foundation strives to meet the prerequisites of being a social enterprise and the related employment proportions of people at risk of social exclusion.
  3. Economic activity serves, among others professional and social reintegration or implementation of social services provided in the local community.

 

CHAPTER IV

FOUNDATION AUTHORITIES

§11

  1. The Management Board is the Foundation’s body.
  2. The Management Board consists of 2 to 5 persons, including the President and Vice President of the Management Board.
  3. Members of the Management Board shall be appointed and dismissed by the Founder by a unanimous resolution.
  4. The President of the Board directs the work of the Board, which meets at least once every six months.
  5. The Foundation’s Board manages its activities and represents the Foundation outside.
  6. The Management Board adopts resolutions by a simple majority of votes, in the presence of at least half of the Management Board Members. In the event of contentious issues, the vote of the President of the Management Board is decisive.
  7. Membership of a Management Board member expires in the case of:

a) resignation

b) death

c) dismissal of a Member of the Management Board in accordance with para. 8 below.

8. A Board Member may be dismissed in the case of:

a) a disease that causes permanent inability to perform a function

b) improper fulfillment of the function of a Member of the Management Board

c) material breach of the provisions of this Statute

d) existence of causes other than those mentioned above.

§12

  1. Management Board members may receive remuneration for performing their functions.
  2. All contracts with the President of the Board must be signed by another Member of the Board.

§13

  1. The competencies of the Management Board include:

a) managing the Foundation’s day-to-day activities

b) approval of the Foundation’s financial statements

c) delineating the main directions of the Foundation’s activities

d) implementation of statutory objectives

e) drawing up work and budget plans

f) management of the Foundation’s assets

g) conducting business and making decisions related to it

h) making decisions on changing the Foundation’s statute

i) deciding whether to merge with another foundation or to liquidate the Foundation

j) employing employees and establishing cooperation with volunteers

k) determining the amount of employment, the amount and limits of remuneration of the Foundation’s employees and members of the Management Board, including the management, organization of volunteering and engaging volunteers

l) accept donations, inheritances and bequests, subsidies and subsidies

ł) adopting regulations, appointing and resolving other consultative and advisory bodies, including consultative and advisory bodies with the participation of employees to ensure democratic management

m) agreeing to join the Foundation to other entities as a member.

2. The Management Board may appoint proxies to manage a separate area of ​​matters belonging to the Foundation’s tasks.

§14

Declaration of will on behalf of the Foundation, in matters of property and non-property matters, is made by each member of the Board independently.

 

CHAPTER V

FINAL PROVISIONS

§15

  1. Amendments to the statute may concern objectives for which the Foundation was established and specified in the founding act.
  2. Changes in the statute are made by the Foundation’s Management Board.

§16

  1. The Foundation may merge with another foundation on terms specified by interested parties.
  2. The decision on the merger is made by the Foundation’s Management by way of unanimous resolution.

§17

  1. The liquidator of the Foundation is appointed by the Board.
  2. Residual assets after liquidation will be used for purposes identical to those of the Foundation.
  3. In the event of the death of the Founder provided for in this statute, the Founder’s competences shall be implemented by the Foundation Council consisting of beneficiaries of the Founder or persons indicated by him in the will. The Foundation Council makes decisions by a simple majority of adults present at the meeting.
